TSX Group Inc. has filed its final supplemented prospectus with the Canadian securities regulators in connection with TSX Group Inc.’s initial public offering of 18,978,238 common shares at a price of $18 per share. Closing is scheduled to take place on November 12. The offering is expected to raise $341.6 million.
In addition, TSX Group Inc. has granted to the underwriters an option to purchase up to an additional 2,846,736 common shares at the same price to cover over-allotments, if any, and for market stabilization purposes.
Under a previously approved reorganization, on closing of the offering, TSX Group Inc. will become the holding company of TSX Inc. (formerly The Toronto Stock Exchange Inc.)and related companies and the current shareholders of TSX Inc. will receive shares of TSX Group Inc. The total net proceeds of the offering (including any proceeds realized on exercise of the over-allotment option) will be paid to shareholders of TSX Inc. who have chosen to sell some or all of the shares of TSX Group Inc. they receive to an affiliate of TSX Group Inc. in connection with the offering process.
Scotia Capital Inc. and Goldman Sachs Canada Inc. are serving as joint book runners for the underwriting group. Other members of the underwriting syndicate are BMO Nesbitt Burns Inc., CIBC World Markets Inc., National Bank Financial Inc., RBC Dominion Securities Inc., TD Securities Inc., Merrill Lynch Canada Inc., Canaccord Capital Corp., Dundee Securities Corp., Griffiths McBurney & Partners, Raymond James Ltd. and Yorkton Securities Inc.
TSX Group Inc. has received conditional approval for the listing of its common shares on the Toronto Stock Exchange under the symbol “X”, subject to TSX Group fulfilling all of the requirements of the Toronto Stock Exchange.

The updated prospectus reveals which of the underwriters will be selling their stakes, and which ones will be retaining them. It is generally the smaller firms that plan to sell all of their shares, including Canaccord Capital, Griffiths McBurney & Partners, Raymond James and Yorkton Securities. Several are selling half their stakes, including Dundee Securities, Merrill Lynch Canada, National Bank Financial and RBC Dominion Securities. those retaining their entire stakes include BMO Nesbitt Burns, CIBC World Markets, Goldman Sachs Canada, Scotia Capital and TD Securities.
